Commercial Clean Group UK – Terms and Conditions for Contractors Without Prior Signed Agreement

1. Agreement to Terms and Conditions
By accepting work instructions from Commercial Clean Group UK and commencing any work on our behalf, the contractor acknowledges and agrees to be bound by these Terms and Conditions. These Terms and Conditions supersede any separate contractual terms the contractor may have, as Commercial Clean Group UK does not sign or adhere to external contractor terms or agreements. Acceptance of work constitutes acceptance of these Terms.

2. Payment Terms
All payments for services rendered by contractors will be made under Commercial Clean Group UK’s standard payment terms of days from the date of receipt of the valid invoice. Commercial Clean Group UK reserves the right to withhold payment for work that does not meet agreed-upon quality standards or timelines.

3. Scope of Work and Responsibilities
The contractor is responsible for fulfilling all instructions as provided by Commercial Clean Group UK in a professional and timely manner. The contractor must ensure that all work meets the quality and specifications as outlined in any verbal or written communication from Commercial Clean Group UK.

4. Liability and Indemnity
The contractor accepts full liability for any damages, errors, or issues arising from their work. Commercial Clean Group UK is not responsible for any third-party claims, losses, or damages resulting from the contractor's actions. The contractor agrees to indemnify and hold harmless Commercial Clean Group UK from any such claims.

5. Insurance
It is the contractor’s responsibility to maintain appropriate insurance coverage to protect against any risks associated with performing work on behalf of Commercial Clean Group UK. This includes, but is not limited to, liability, workers' compensation, and property insurance. Commercial Clean Group UK assumes no liability for the contractor’s failure to maintain adequate insurance coverage.

6. Confidentiality
The contractor agrees to keep all information related to Commercial Clean Group UK and any of its clients strictly confidential. This includes, but is not limited to, pricing, client information, business processes, and any proprietary information. Breach of confidentiality may result in immediate termination of work and/or legal action.

7. Quality and Standards
Commercial Clean Group UK expects all contractors to meet industry standards of quality and conduct. Any work deemed unsatisfactory by Commercial Clean Group UK may be subject to rework or deduction from payment. Failure to meet quality standards or repeated substandard work may lead to termination of the working relationship.

8. Termination
Commercial Clean Group UK reserves the right to terminate any work engagement with the contractor at any time if terms are violated or if work quality is not maintained. In such cases, payment for incomplete work may be withheld.

9. Entire Agreement
These Terms and Conditions constitute the entire agreement between the contractor and Commercial Clean Group UK for any work commenced without a formal signed agreement. Any modifications to these terms must be made in writing and agreed upon by Commercial Clean Group UK.

10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these Terms will be subject to the jurisdiction of the UK courts.

Acknowledgment of Terms
By accepting work from Commercial Clean Group UK, the contractor agrees to abide by these Terms and Conditions. Failure to adhere to these Terms may result in delayed payment, termination of the work agreement, or other actions as deemed necessary by Commercial Clean Group UK.
